Terms of Service

1. Acceptance of Terms

By accessing or using BizAI CRM ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

BizAI CRM provides a cloud-based customer relationship management platform designed for South African businesses. The Service includes features for customer management, sales pipeline tracking, quoting, invoicing, appointment scheduling, and AI-powered business intelligence.

3. Account Registration

To use the Service, you must:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your password and account
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

You may not use another person's account without permission. You are solely responsible for the activity that occurs on your account.

4. Subscription and Payment

4.1 Trial Period

New accounts receive a 30-day free trial. No credit card is required for the trial. At the end of the trial period, you must subscribe to a paid plan to continue using the Service.

4.2 Subscription Plans

Subscription fees are charged in South African Rand (ZAR) on a monthly or annual basis, depending on your chosen plan. All fees are exclusive of applicable taxes unless otherwise stated.

4.3 Billing

  • Subscription fees are billed in advance on a recurring basis
  • You authorize us to charge your payment method for all fees
  • If payment fails, we will attempt to notify you and retry the charge
  • Continued payment failures may result in service suspension or termination

4.4 Refunds

Subscription fees are non-refundable except as required by law or as expressly stated in these Terms. If you cancel your subscription, you will continue to have access until the end of your billing period.

4.5 Plan Changes

You may upgrade or downgrade your plan at any time. Upgrades take effect immediately with prorated charges. Downgrades take effect at the next billing cycle.

5. User Data and Privacy

You retain all rights to your data. By using the Service, you grant us permission to store, process, and transmit your data as necessary to provide the Service. We will handle your data in accordance with our Privacy Policy.

You are responsible for:

  • The accuracy, quality, and legality of your data
  • The means by which you acquired your data
  • Compliance with applicable data protection laws (including POPIA)
  • Maintaining backups of your data

6. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Violate the rights of others, including intellectual property rights
  • Upload or transmit viruses, malware, or other malicious code
  • Attempt to gain unauthorized access to the Service or related systems
  • Interfere with or disrupt the Service or servers
  • Use the Service to send spam or unsolicited communications
  • Resell, sublicense, or redistribute the Service without authorization
  • Reverse engineer, decompile, or disassemble the Service
  • Remove or alter any proprietary notices or labels

7. Service Availability

We strive to provide 99.9% uptime for the Service, but we do not guarantee uninterrupted or error-free operation. We may suspend or restrict access to the Service for maintenance, updates, or in response to technical issues.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

8. Intellectual Property

The Service and its original content, features, and functionality are owned by BizAI and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Service or included software, nor may you reverse engineer or attempt to extract the source code of that software.

9. Termination

9.1 Termination by You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.

9.2 Termination by Us

We may suspend or terminate your account immediately if you:

  • Breach these Terms
  • Fail to pay subscription fees
  • Engage in fraudulent or illegal activities
  • Pose a security risk to the Service or other users

9.3 Data Retention After Termination

After termination, we will retain your data for 30 days to allow for reactivation. After 30 days, your data will be permanently deleted. You may request earlier deletion by contacting support.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIZAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless BizAI, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another person or entity
  • Your data or content

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall be resolved through good faith negotiation. If negotiation fails, disputes shall be resolved in the courts of South Africa.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

  • Posting the updated Terms on this page
  • Updating the "Last updated" date
  • Sending you an email notification (for material changes)

Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and BizAI regarding the Service and supersede all prior agreements and understandings.
